Software End User License Agreement

本ソフトウェア使用許諾契約（以下「本契約」）は、株式会社クオリス（以下「当社」）が提供するソフトウェア製品（以下「本ソフトウェア」）の使用条件を定めるものです。ユーザー（以下「ユーザー」）は、本ソフトウェアをインストールまたは使用することにより、本契約に同意したものとみなされます。
This End User License Agreement (hereinafter referred to as the "Agreement") is a legal contract between Qualice Corporation (hereinafter referred to as the "Company") and the end user (hereinafter referred to as the "User") for the use of the software product provided by the Company (hereinafter referred to as the "Software"). By installing or using the Software, the User agrees to be bound by the terms of this Agreement.

第1条（使用許諾） / Article 1 (License Grant)
当社は、ユーザーに対し、本契約に従い、本ソフトウェアを非独占的かつ譲渡不能な範囲で使用する権利を許諾します。
The Company grants the User a non-exclusive, non-transferable right to use the Software in accordance with this Agreement.
本ソフトウェアの使用は、ユーザーが購入したライセンス数に対応するPC台数に限られます。
The use of the Software is limited to the number of PCs corresponding to the number of licenses purchased by the User.
1ライセンスにつき、1台のPCにインストールして使用できます。
One license entitles the User to install and use the Software on one PC.
ユーザーは、当社のネットワーク認証システムを利用してライセンスを解除・再認証することにより、合理的な理由（PCの故障、買い替え等）がある場合にはライセンスを別のPCに移行できます。
The User may transfer a license to another PC in the event of replacement, malfunction, or other legitimate reasons, by deactivating and reactivating the license through the Company's network authentication system.
ユーザーは、PC移行のために一時的に旧PCと新PCの双方に本ソフトウェアをインストールすることができます。ただし、当社のネットワーク認証システムにより旧PCでの利用は無効化され、同一ライセンスを複数PCで同時に利用することはできません。
For the purpose of PC migration, the User may temporarily install the Software on both the old PC and the new PC. However, the Company's network authentication system will automatically deactivate the old PC, and simultaneous use of the same license on multiple PCs is strictly prohibited.

第2条（認証およびオフライン利用） / Article 2 (Authentication and Offline Use)
本ソフトウェアの利用には、当社のネットワーク認証システムによる認証が必要です。
The use of the Software requires authentication through the Company's network authentication system.
認証が行われると、その時点から24時間以内であればオフライン環境でも利用可能です。
Once authenticated, the User may use the Software offline for up to 24 hours from the last authentication time.
24時間を超えて継続利用する場合は、再度インターネット接続を行い、ライセンス認証を受ける必要があります。
To continue using the Software beyond 24 hours, the User must reconnect to the internet for re-authentication.
ユーザーは、認証システムを不正に回避、改ざん、または妨害してはなりません。
The User shall not attempt to bypass, modify, or otherwise interfere with the authentication system.

第3条（禁止事項） / Article 3 (Prohibited Acts)
ユーザーは、以下の行為を行ってはなりません。
The User shall not engage in the following acts:

• 購入したライセンス数を超えて本ソフトウェアをインストールまたは使用する行為。
  Installing or using the Software on more PCs than the number of purchased licenses.
• 本ソフトウェアを複製、改変、リバースエンジニアリング、逆コンパイル、逆アセンブルする行為。
  Copying, modifying, reverse engineering, decompiling, or disassembling the Software.
• 本ソフトウェアを第三者に譲渡、販売、貸与、リース、再配布する行為。
  Transferring, selling, renting, leasing, or redistributing the Software to any third party.
• 認証システムを不正に回避または改ざんする行為。
  Tampering with or circumventing the authentication system.

第4条（知的財産権） / Article 4 (Intellectual Property Rights)
本ソフトウェアに関する著作権、商標権、その他一切の知的財産権は、当社または正当な権利者に帰属します。
All copyrights, trademarks, and other intellectual property rights related to the Software are owned by the Company or its licensors.
本契約に基づきユーザーに許諾されるのは、本ソフトウェアの使用権のみであり、知的財産権の譲渡は含まれません。
This Agreement grants only the right to use the Software and does not transfer any intellectual property rights to the User.

第5条（保証および責任制限） / Article 5 (Disclaimer of Warranty and Limitation of Liability)
当社は、本ソフトウェアを「現状有姿」で提供し、特定目的への適合性、正確性、信頼性等について明示または黙示を問わずいかなる保証も行いません。
The Software is provided "as is" without any express or implied warranty, including but not limited to fitness for a particular purpose, accuracy, or reliability.
本ソフトウェアの利用により生じたいかなる損害についても、当社の責任はユーザーが本ソフトウェアに対して支払った金額を上限とします。
The Company's liability for any damages arising from the use of the Software shall be limited to the total amount paid by the User for the Software.
当社は、間接的、付随的、特別、派生的損害について責任を負いません。
The Company shall not be liable for any indirect, incidental, special, or consequential damages.

第6条（サポートおよびアップデート） / Article 6 (Support and Updates)
当社は、別途定める条件に基づき、本ソフトウェアに関するサポートを提供する場合があります。
The Company may provide support services for the Software under conditions separately specified.
アップデートや改良版の提供条件は当社の裁量によります。
The provision of updates, upgrades, or improvements to the Software shall be at the sole discretion of the Company.

第7条（契約の終了） / Article 7 (Termination)
ユーザーが本契約に違反した場合、当社は直ちに本契約を解除できるものとします。
If the User breaches this Agreement, the Company may terminate this Agreement immediately without prior notice.
契約終了後、ユーザーは本ソフトウェアの使用を中止し、すべてのコピーを削除しなければなりません。
Upon termination, the User must cease all use of the Software and delete all copies in their possession.

第8条（準拠法および管轄） / Article 8 (Governing Law and Jurisdiction)
本契約は日本法に準拠し、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
This Agreement shall be governed by and construed in accordance with the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any disputes arising out of or in connection with this Agreement.

第9条（言語条項） / Article 9 (Language)
本契約は日本語と英語で作成されますが、両言語間に不一致がある場合は、日本語版を優先するものとします。
This Agreement is prepared in both Japanese and English. In the event of any inconsistency between the two versions, the Japanese version shall prevail.
