Software End User License Agreement

This End User License Agreement (hereinafter referred to as the “Agreement”) is a legal contract between Qualice Corporation (hereinafter referred to as the “Company”) and the end user (hereinafter referred to as the “User”) for the use of the software product provided by the Company (hereinafter referred to as the “Software”). By installing or using the Software, the User agrees to be bound by the terms of this Agreement.

Article 1 (License Grant)
The Company grants the User a non-exclusive, non-transferable right to use the Software in accordance with this Agreement.
The use of the Software is limited to the number of PCs corresponding to the number of licenses purchased by the User.
One license entitles the User to install and use the Software on one PC.
The User may transfer a license to another PC in the event of replacement, malfunction, or other legitimate reasons, by deactivating and reactivating the license through the Company’s network authentication system.
For the purpose of PC migration, the User may temporarily install the Software on both the old PC and the new PC. However, the Company’s network authentication system will automatically deactivate the old PC, and simultaneous use of the same license on multiple PCs is strictly prohibited.

Article 2 (Authentication and Offline Use)
The use of the Software requires authentication through the Company’s network authentication system.
Once authenticated, the User may use the Software offline for up to 24 hours from the last authentication time.
To continue using the Software beyond 24 hours, the User must reconnect to the internet for re-authentication.
The User shall not attempt to bypass, modify, or otherwise interfere with the authentication system.

Article 3 (Prohibited Acts)
The User shall not engage in the following acts:

• Installing or using the Software on more PCs than the number of purchased licenses.
• Copying, modifying, reverse engineering, decompiling, or disassembling the Software.
• Transferring, selling, renting, leasing, or redistributing the Software to any third party.
• Tampering with or circumventing the authentication system.

Article 4 (Intellectual Property Rights)
All copyrights, trademarks, and other intellectual property rights related to the Software are owned by the Company or its licensors.
This Agreement grants only the right to use the Software and does not transfer any intellectual property rights to the User.

Article 5 (Disclaimer of Warranty and Limitation of Liability)
The Software is provided “as is” without any express or implied warranty, including but not limited to fitness for a particular purpose, accuracy, or reliability.
The Company’s liability for any damages arising from the use of the Software shall be limited to the total amount paid by the User for the Software.
The Company shall not be liable for any indirect, incidental, special, or consequential damages.

Article 6 (Support and Updates)
The Company may provide support services for the Software under conditions separately specified.
The provision of updates, upgrades, or improvements to the Software shall be at the sole discretion of the Company.

Article 7 (Termination)
If the User breaches this Agreement, the Company may terminate this Agreement immediately without prior notice.
Upon termination, the User must cease all use of the Software and delete all copies in their possession.

Article 8 (Governing Law and Jurisdiction)
This Agreement shall be governed by and construed in accordance with the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any disputes arising out of or in connection with this Agreement.

Article 9 (Language)
This Agreement is prepared in both Japanese and English. In the event of any inconsistency between the two versions, the Japanese version shall prevail.
